Acceptance of Terms

By accessing and using the Nitelanding executive risk management platform, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this platform.

Platform Description

Nitelanding provides an executive risk dashboard and scenario planning platform that fuses company KPIs with market signals to forecast exposure, quantify downside, and propose cost and resource rebalancing across products and regions.

User Accounts and Responsibilities

Account Registration

• You must provide accurate and complete information during registration
• You are responsible for maintaining the confidentiality of your account credentials
• You must notify us immediately of any unauthorized use of your account
• One person may not maintain multiple accounts

Acceptable Use

• Use the platform only for legitimate business purposes
• Comply with all applicable laws and regulations
• Respect intellectual property rights
• Do not attempt to reverse engineer or compromise platform security
• Do not share access credentials with unauthorized parties

Data and Content

Your Data

You retain ownership of all data you upload to the platform. By using our services, you grant us a limited license to process your data solely for the purpose of providing risk analysis and scenario planning services.

Platform Content

All content provided by Nitelanding, including risk models, algorithms, and interface designs, remains our intellectual property and is protected by copyright and other applicable laws.

Service Availability

We strive to maintain high platform availability but cannot guarantee uninterrupted service. We reserve the right to:

• Perform scheduled maintenance with advance notice
• Make emergency repairs as needed
• Update platform features and functionality
• Modify or discontinue services with reasonable notice

Limitation of Liability

The platform provides risk analysis and scenario planning tools for informational purposes. While we strive for accuracy, we cannot guarantee the completeness or accuracy of all risk assessments. Users are responsible for:

• Validating all risk analysis results
• Making independent business decisions
• Consulting with qualified professionals as needed
• Understanding the limitations of predictive modeling

Payment Terms

Subscription fees are billed according to your selected plan. All fees are non-refundable except as required by law. We reserve the right to modify pricing with 30 days advance notice.

Intellectual Property Rights

The platform and all related intellectual property rights are owned by Nitelanding. Users are granted a limited, non-exclusive license to use the platform in accordance with these terms.

Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the use of the platform. This obligation survives termination of the agreement.

Indemnification

Users agree to indemnify and hold harmless Nitelanding from any claims, damages, or expenses arising from their use of the platform or violation of these terms.

Force Majeure

Neither party shall be liable for any failure to perform due to circumstances beyond their reasonable control, including natural disasters, government actions, or technical failures.

Dispute Resolution

Any disputes arising from these terms shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration association.

Termination

Either party may terminate the service agreement with appropriate notice. Upon termination:

• Your access to the platform will be discontinued
• Your data will be securely deleted within 90 days
• Outstanding fees remain due and payable
• Confidentiality obligations continue to apply

Governing Law

These terms are governed by the laws of Ontario, Canada. Any disputes will be resolved through binding arbitration in Toronto, Ontario.
